Terms of Service

These terms are an agreement between Keel Automation LLC ("Keel") and the company that creates an account ("Customer"). By creating a company account or accepting an invite, you agree to them on behalf of your company.

1. The Service

Keel Agents provides AI agents, computers, connections, and an administration console at app.keelagents.ai. Keel may improve or change features over time and will give reasonable notice of changes that materially reduce functionality.

2. Accounts and members

Customer's administrators control who may join, what they may do, and which models and tools are allowed. Customer is responsible for its members' use of the Service and for keeping credentials secure.

3. Subscription and payment

• Pricing is per seat, billed monthly or annually in advance. Seats match active members; changes are prorated.
• Each seat includes the credits stated on the pricing page, pooled across the company for the billing period. Unused credits do not roll over.
• On-demand credits and credit packs are prepaid and charged to the saved payment method at the time of purchase. Keel does not extend credit.
• If payment fails, Keel will retry and notify administrators. After a grace period the account is limited until payment succeeds.
• Fees exclude taxes. Customer is responsible for applicable taxes.

4. Trial

New companies receive a free trial as described on the pricing page. At the end of the trial the account is limited until a subscription is started. Keel may change or end the trial program for new customers.

5. Acceptable use

Customer will not use the Service to violate law, infringe rights, send unsolicited messages, attempt to access other customers' data, or circumvent usage controls. Customer is responsible for actions agents take at its members' direction and for reviewing confirmations before approving them.

6. Content and data

Customer owns its content. Keel processes it only to provide the Service as described in the Privacy Policy and Data Processing Addendum. Keel does not use Customer content to train models.

7. Third-party services

Connections to third-party tools and model providers are subject to those providers' terms. Keel is not responsible for third-party services.

8. Term and termination

Customer may cancel at any time; access continues through the paid period and fees already paid are not refunded except where required by law. Keel may suspend or terminate for material breach, non-payment, or risk to the Service, with notice where practical.

9. Warranties and liability

The Service is provided as is. AI output may be inaccurate and must be reviewed before reliance. To the extent permitted by law, Keel's total liability for any claim is limited to the fees paid by Customer in the twelve months before the claim, and Keel is not liable for indirect or consequential damages.

10. General

These terms are governed by the laws of the State of Texas, United States. Keel may update these terms with notice to administrators; continued use after the effective date is acceptance. Questions: legal@keelagents.ai.
